On September 20, 2011, we issued 344,828 common shares in the capital of our company. The securities were issued in connection with the conversion of a portion of a $55,000 convertible note dated August 25, 2010. We issued the securities to one (1) U.S. person (as that term is defined in Regulation S of the Securities Act of 1933) pursuant to the exemption from registration provided for under Rule 506 of Regulation D, promulgated under the United States Securities Act of 1933, as amended.
